Terms of Service

These Terms of Service (“Terms”) govern your use of Kuely (“Kuely,” “we,” “us”), including the Kuely iOS app and this website. By creating an account or using Kuely, you agree to these Terms. If you do not agree, do not use Kuely.

1. Eligibility and account

You must be at least 13 years old to use Kuely. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us at [email protected] if you suspect unauthorized access.

2. Your content

Kuely lets you upload scripts and rehearse them. You retain all ownership rights in the scripts and other materials you upload (“Your Content”).

By uploading Your Content, you grant Kuely a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate the service for you — for example, to parse and tag scripts, generate the voice of your AI scene partner, and replay sessions. This license ends when you delete the relevant content or your account, except to the extent retention is required for backups, security, or by law.

You represent and warrant that you have all rights necessary to upload Your Content and to grant the license above, and that Your Content does not infringe or violate any third-party rights or any applicable law. Many published scripts are protected by copyright; you are responsible for ensuring your use of them in Kuely is lawful (for example, personal study or audition preparation under applicable exceptions).

3. AI-generated content

Kuely uses third-party artificial intelligence services to deliver its core features:

• Anthropic (Claude) is used to structure your uploaded scripts and add performance-direction tags.
• ElevenLabs is used to synthesize the voice of your AI scene partner from your script.

AI output can be inaccurate, inconsistent, or unexpected. Voice output is synthesized and is not a recording of a human actor. You should not rely on AI-generated content as professional advice, factual record, or a substitute for human judgment.

You are responsible for your interactions with the AI and for the content you supply to it. Do not submit content that is illegal, infringing, harmful, or that violates the providers’ usage policies.

4. Acceptable use

You agree not to use Kuely to:

• Upload content you do not have the right to use, or that infringes intellectual property, privacy, or publicity rights.
• Generate or distribute content that is unlawful, defamatory, harassing, sexually exploitative of minors, or that depicts a real person without their consent in a manner intended to deceive.
• Attempt to reverse engineer, scrape, or interfere with the service, its infrastructure, or its providers.
• Resell, sublicense, or provide Kuely to third parties as a service.
• Use Kuely in violation of any applicable law or third-party agreement.

We may suspend or terminate accounts that violate these rules, and we may remove content that we reasonably believe violates them or applicable law.

5. Reporting abuse or requesting content removal

To report content that you believe infringes your rights, is unlawful, or otherwise violates these Terms, email [email protected] with a description of the content, the URL or in-app location if applicable, the basis of your concern, and your contact information.

You can also report objectionable content directly from the app (open a scene, then choose “Report scene”), or email [email protected]. We review reports and remove violating content, typically within 24 hours.

6. Termination

You may delete your account at any time from inside the Kuely iOS app. Deletion removes your scripts, sessions, transcripts, and cached audio from our active systems.

We may suspend or terminate your access to Kuely at any time if you violate these Terms, if required by law, or if we discontinue the service. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

7. Disclaimers

Kuely is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any AI output will be accurate or suitable for any particular purpose.

8. Limitation of liability

To the maximum extent permitted by law, Kuely will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising out of or related to your use of the service. Our total liability for any claim arising from or relating to Kuely will not exceed the greater of (a) the amount you paid us for the service in the twelve months preceding the claim, or (b) one hundred U.S. dollars (USD $100).

9. Indemnification

You agree to indemnify and hold Kuely harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the service, Your Content, or your violation of these Terms or applicable law.

10. Changes to the service or these Terms

We may update, change, or discontinue features of Kuely at any time. We may also update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you in the app or by email. Your continued use of Kuely after changes take effect constitutes acceptance of the updated Terms.

11. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You and Kuely agree to the exclusive jurisdiction of the state and federal courts located in California for any dispute that is not subject to binding arbitration or small-claims court.

12. Apple App Store terms

If you download Kuely from the Apple App Store, you acknowledge that these Terms are between you and Kuely, not Apple, and that Apple is not responsible for the app or its content. Apple is a third-party beneficiary of these Terms and may enforce them against you.
